Happy Tuesday.

Getting a deal agreed is one thing. Getting it closed is another.

This week's Framework introduces The Closing Gate Framework, a look at the critical gates a transaction must pass through before a deal can actually close. Each gate removes another layer of uncertainty, but until they all are cleared, the transaction isn't done.

This week's Brief, The Closing Statement, follows the economics from enterprise value to the final cash distributed at closing. Debt, transaction expenses, working capital adjustments, escrows, seller notes, and other items can all affect where the money ultimately goes and what the seller actually receives.
