This week's Framework introduces the Seller's Decision Framework, a structured way to evaluate whether a deal actually makes sense for a particular seller. Economics matter, but so do risk, timing, certainty, future upside, and what life looks like after the transaction. The best deal is ultimately the one that best aligns with what the seller is trying to accomplish.
This week's Brief, Which EBITDA to Use?, looks at a deceptively simple valuation question. FYE, TTM, run-rate, and projected EBITDA can tell very different stories, and there is no single number that works in every situation. Understanding which EBITDA is relevant, and why, can materially change the valuation discussion.
